Company Dissolution (Liquidation)

Company Liquidation is the structured, legally binding process of closing and dissolving an Indonesian PT PMA or PT PMDN in strict accordance with the Indonesian Company Law and Tax Directorate regulations, ensuring directors and shareholders are permanently relieved from ongoing legal, financial, and tax liabilities.

Formal liquidation encompasses a multi-phase statutory sequence: convening an extraordinary General Meeting of Shareholders (RUPS) to declare dissolution and appoint an accredited liquidator, publishing formal announcements in the Official Gazette and national newspapers, settling outstanding creditor claims, and undergoing a mandatory comprehensive tax audit to obtain a formal Tax Clearance Certificate (Surat Keputusan Penghapusan NPWP).

Today Consultant acts as your official legal and liquidation counsel throughout every stage. We manage creditor notifications, lead the tax audit defense to zero out historical tax exposure, execute final liquidation deeds, and secure formal deletion of the legal entity from the AHU ministerial database and BKPM registry.
